Terms and Conditions of Services
Client acknowledges having read, understood and agreed to be fully bound by the following Terms and Conditions of Services:
Services Provided
Vivink Editorial Incorporated shall produce prompt, professional writing, editing and project management services (“Services”) to a high standard.
Services Limitations
Client assumes full responsibility for Client text/data accuracy, fact and statistic checking, as well as final proofreading sign off. Vivink Editorial Incorporated is unable to guarantee specific results sought by Client, including but not limited to, investor funding, banking loans, website traffic, sales volumes or publication in certain magazines. Vivink Editorial Incorporated does not offer legal or accounting services and advises Client to seek the assistance of a qualified, experienced lawyer and/or accountant for all relevant matters.
Confidentiality
Vivink Editorial Incorporated will not release any confidential information to unauthorized parties unless required to do so by law. Client recognizes that use of electronic mail and the Internet involves security risks which can therefore result in breach of confidentiality; Client shall not hold Vivink Editorial Incorporated responsible for any such breach.
Working Relationship and Invoicing
Both parties expressly agree that this is a Contractor-Client relationship, not one of Employer-Employee, and therefore no overtime compensatory rates shall apply. Invoices are due upon receipt and shall be produced according to agreed upon work schedule outlined in quotation. |

Lawful Purposes Intent
It is expressly desired by Vivink Editorial Incorporated that Client does not use Vivink Editorial Incorporated’s Services to breach any form of law, including but not limited to, intellectual property considerations such as trademark law, trade secret law, copyright law or patent law.
Indemnification
Client indemnifies, holds harmless and will defend Vivink Editorial Incorporated from any and all direct and indirect liabilities, losses, penalties, damages, claims, attorneys’ fees and expenses resulting from the Client’s use of Vivink Editorial Incorporated Services.
Applicable Law
Vivink Editorial Incorporated and Client agree that the applicable law is that of British Columbia, Canada. Any disputes held in a court of law will occur in a qualified court in British Columbia, Canada.
Dispute Resolution
All matters under dispute shall first attempt to be resolved via direct discussion between Vivink Editorial Incorporated and Client. Failing direct discussion, contract termination shall be enacted in accordance with termination protocol listed in this document.
Severability
If any portion of this contract is found to be unenforceable by law, then that portion shall be deemed severable from this contract and the remaining provisions shall be in full force.
Termination
Either party may terminate this contract via 5-days written notice to the other party. All work performed to date, and any relevant expenses, become immediately due and payable upon termination of this contract.
